These Terms of Service ("Terms") govern your access to and use of the website at ai-sommelier.ca (the "Site") and the consulting, AEO strategy, AI integration, and related services (the "Services") offered by The AI Sommelier Inc. ("we", "our", or "us"). By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our Services.

1. About Us

The AI Sommelier Inc. is a consulting company based in Ottawa, Ontario, Canada. We help businesses identify, select, and implement AI solutions, and we offer AEO (Answer Engine Optimization) strategy and AI integration services. We are not a legal, financial, or regulatory advisor, and nothing on the Site should be treated as such advice.

2. Eligibility

You must be at least the age of majority in your jurisdiction to use the Site or engage our Services. By using the Site, you represent that you meet this requirement. You are responsible for any activity that occurs under your account or in connection with your submissions to us.

3. Services and Proposals

Descriptions of our Services on the Site are provided for general information. The specific scope, deliverables, fees, and timelines of any engagement will be set out in a separate written proposal or agreement signed by both parties. Unless a written agreement states otherwise, our Services are provided on a best-efforts basis and do not guarantee any particular business outcome.

4. Use of the Site

Reports, analyses, and deliverables we prepare for you remain our intellectual property unless a written agreement provides otherwise. Where a written agreement grants you rights to use deliverables, such rights are limited to your own business use.

6. Referral Links and Affiliate Disclosure

The Site contains links to third-party products, tools, and financial services — including our "Our Favourite Tools" page. Some of these links are referral or affiliate links. If you make a purchase or open an account through such a link, we may receive a commission or other benefit at no additional cost to you. 9. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or our Services, even if we have been advised of the possibility of such damages. In no event will our total aggregate liability to you exceed the amount you paid to us for the specific Services giving rise to the claim, or CAD $100 if no fees were paid, except where liability cannot be limited by law.

10. Indemnification

You agree to indemnify and hold harmless The AI Sommelier Inc., its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to your use of the Site, your submissions to us, or your breach of these Terms.

11. Termination

We may suspend or terminate your access to any part of the Site or Services at our discretion, with or without notice, if we reasonably believe you have violated these Terms or if required by law. Sections that by their nature should survive termination — including Sections 5, 8, 9, 10, and 13 — will survive.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on this page and revise the "Last updated" date at the top. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes arising out of these Terms will be subject to the exclusive jurisdiction of the courts located in Ottawa, Ontario.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. In such a case, the invalid provision will be interpreted to the extent possible to reflect the parties' original intent.
